Terms and Conditions of MyAuditor B.V.

1. Definitions

  • "Company" refers to MyAuditor B.V., registered in the Netherlands, with its principal office at Kerklaan 13, 4063CV Heesselt, The Netherlands.
  • "Client" refers to the party purchasing audit reports and related services from MyAuditor B.V.
  • "Audit Report" refers to the reports created or obtained by MyAuditor B.V. that evaluate the compliance, performance, or quality systems of a company.
  • "CAPA Plan" refers to the Corrective and Preventive Actions plan of the audited company.
  • "Agreement" refers to any contract, invoice, or arrangement between the Company and the Client, incorporating these terms and conditions.

2. Scope of Services

MyAuditor B.V. provides Clients with Audit Reports, including the evaluation of CAPA plans, closing statements, and auditor CVs as part of its service offering.

The Company may sell audit reports it has conducted itself or obtained through partnerships.

Audit Reports are provided for informational purposes only and do not guarantee compliance or certification by regulatory authorities.

Audit Reports obtained via third parties and resold by MyAuditor B.V. are provided "as-is," based on the information received from these third parties. While MyAuditor B.V. ensures the credibility of its partners, it does not take responsibility for the completeness or accuracy of these third-party audit reports.

3. Intellectual Property

All intellectual property rights to the Audit Reports and accompanying materials remain the exclusive property of MyAuditor B.V. unless explicitly agreed otherwise in writing.

Clients are granted a limited, non-transferable, and non-exclusive license to use the Audit Reports solely for internal purposes.

The Audit Reports may not be shared, reproduced, distributed, or used for purposes other than those agreed upon in writing without prior consent from MyAuditor B.V.

4. Confidentiality

Both the Company and the Client agree to treat all information shared under the Agreement as confidential, unless such information is publicly available or required to be disclosed by law.

MyAuditor B.V. reserves the right to share anonymized or aggregated data for statistical or analytical purposes.

5. Limitation of Liability

MyAuditor B.V. is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the Audit Reports or related services.

The Company’s total liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the Client for the specific Audit Report in question.

For Audit Reports obtained via third parties, MyAuditor B.V. does not accept liability for inaccuracies or omissions present in the original third-party audit report.

6. Client Responsibilities

The Client must ensure the appropriate use of the Audit Reports and comply with all applicable laws and regulations.

The Client is responsible for verifying the suitability of the Audit Reports for its intended use.

7. Pricing and Payment Terms

Prices for Audit Reports and services are as stated on the invoice or otherwise agreed upon in writing.

Payments are due within 14 days of the invoice date unless otherwise specified.

Late payments may incur interest at the statutory interest rate as determined under Dutch law.

8. Warranty Disclaimer

Audit Reports are provided “as-is” without any warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or merchantability.

9. Termination

Either party may terminate the Agreement in writing with [insert notice period] notice.

Upon termination, the Client’s license to use the Audit Reports will immediately cease, and any outstanding payments shall become due.

10. Governing Law and Dispute Resolution

These terms and conditions shall be governed by the laws of the Netherlands.

Any disputes arising from the Agreement shall be submitted to the exclusive jurisdiction of the competent court in ’s-Hertogenbosch, the Netherlands.

11. Amendments

MyAuditor B.V. reserves the right to amend these terms and conditions at any time. Clients will be notified of significant changes.

12. Entire Agreement

These terms and conditions, together with the invoice and any other written agreements, constitute the entire agreement between MyAuditor B.V. and the Client.
